Affiliate Program Terms

1. Scope

These Terms govern the Affiliate Program (the "Program") of Rollin Servicos Digitais e Tecnologia LTDA, CNPJ 64.204.851/0001-39 ("Rollin Host"), under which selected individuals and legal entities act as professional affiliates to promote and generate conversions for hosting plans, VPS, dedicated servers, and other services, earning commissions as set out herein.

The relationship between the Affiliate and Rollin Host does not constitute an employment, partnership, agency, power of attorney, or franchise arrangement.

2. Definitions

  • Affiliate: an individual or legal entity approved to participate in the Program.
  • Referred Customer: a third party who purchases a Rollin Host service through the Affiliate's channels.
  • Conversion: a completed purchase by a Referred Customer, with confirmed payment of the first invoice and the cooling-off period satisfied.
  • Cookie: a tracking identifier stored in the Referred Customer's browser to attribute conversions to the Affiliate.
  • Commission: the financial amount owed to the Affiliate for a valid conversion, equal to 20% (twenty percent) of the value of the first invoice paid by the Referred Customer.
  • Tier: a remuneration bracket that may vary based on monthly conversion volume, at Rollin Host's discretion.
  • Cooling-off period: a 30-day period starting from the Referred Customer's first invoice payment, during which the commission is held in reserve.

3. Registration and approval

To apply to the Program, the applicant completes the form at /programa-de-afiliados, providing their promotional channels, niche/audience, and registration details. Rollin Host evaluates and approves applications based on objective criteria, without any guarantee of acceptance.

Upon approval, the Affiliate receives login credentials for the Program dashboard, an exclusive referral link and/or coupon, and access to the materials library.

4. Tracking and attribution

Attribution is determined by:

  • Cookie: stored in the Referred Customer's browser when they visit the Rollin Host website via the Affiliate's link, with a window of 90 (ninety) days;
  • Coupon: entered at checkout by the Referred Customer;
  • Last-click rule: the most recent cookie or coupon used within the attribution window takes precedence.

Tracking data comprises only the minimum records required to validate a conversion (traffic source, timestamp, Affiliate ID) and is processed in accordance with the Privacy Policy and the Cookie Policy.

5. Commissions

The standard commission is 20% (twenty percent) of the value of the first invoice paid by the Referred Customer (one conversion per customer), calculated on the net amount received (after withholding taxes where applicable and after deducting the cost of third-party licenses).

The following are not commissionable:

  • Domain registrations and third-party software licenses (passed through at cost, with no available margin);
  • Renewals and subsequent invoices from the Referred Customer;
  • Credits and refunds.

Rollin Host may publish tier tables and seasonal bonus structures in the Affiliate dashboard and on the Program page. Material changes to tiers are subject to the notice period set out in clause 12.

6. Payment to the Affiliate

6.1 Cooling-off period

Every conversion is subject to a 30-day cooling-off period starting from the date of the Referred Customer's first invoice payment. During this period the Referred Customer may invoke the money-back guarantee; if a refund is granted, the corresponding commission is cancelled.

6.2 Payment methods

Once the cooling-off period has elapsed and the anti-fraud review is complete, the Affiliate may request payment through any of the following methods:

  • PIX withdrawal: for balances of R$ 100.00 (one hundred reais) or more, transferred to the PIX key registered under the same ownership as the Affiliate account, within up to 10 (ten) business days of the request;
  • Credit on own invoice: no minimum amount, available when the Affiliate is also a Rollin Host customer;
  • Bank slip or wire transfer: on request for legal-entity Affiliates with a monthly balance exceeding R$ 1,000.00.

6.3 Commission clawback

Commissions already paid are reversed and debited from the Affiliate's balance in the following circumstances:

  • A chargeback or payment dispute initiated by the Referred Customer;
  • Detection of fraud in the origin of the conversion;
  • A refund granted and linked to misconduct in the Affiliate's promotional activity (misleading information provided by the Affiliate).

7. Materials and brand use

Rollin Host makes available to the Affiliate a library of creative assets — banners, videos, email copy, social media post text. Use is free of charge, non-exclusive, and limited to the Program.

The following are prohibited:

  • Modifying Rollin Host logos beyond the size and color adaptations specified in the brand guidelines;
  • Using the Rollin Host brand in the Affiliate's own domain names without prior written authorization (with the limited exception of review subdomains clearly identified as independent);
  • Purchasing paid traffic on Rollin Host brand keywords (Google Ads, Bing Ads, etc.) without prior written authorization.

8. Prohibited conduct

The conduct listed below will result in immediate suspension and may give rise to termination of the Program, without prejudice to any legal remedies:

  • Spam (email, SMS, WhatsApp, social media) — see the Anti-Spam Policy;
  • Black hat SEO (cloaking, AI-generated content in bulk for ranking manipulation, link farms);
  • Cookie stuffing, hidden iframes, forced cookie injection via JavaScript;
  • Fake pages impersonating Rollin Host;
  • Misleading statements about services, pricing, or conditions;
  • Self-referral through self-registration for the purpose of earning commissions;
  • Circumventing tracking criteria;
  • Promotion on sites containing prohibited content (pornography, discriminatory content, piracy, unregulated gambling).

9. Confidentiality and data

Sensitive commercial information made available to the Affiliate (reports, campaign conversion rates, unpublished materials) is confidential and must be kept strictly private during the term of the Program and for 2 (two) years following its conclusion.

In relation to the processing of personal data, the Privacy Policy applies, and where the Affiliate processes third-party personal data in connection with its promotional activities (its own mailing lists, for example), the Data Processing Clauses (DPA) also apply.

10. Taxation and invoicing

Commissions paid to legal-entity Affiliates require the issuance of a Brazilian Service Invoice (Nota Fiscal de Servico), failing which payment will be withheld until the situation is remedied. For individual Affiliates, amounts are subject to applicable tax law; any mandatory withholding will be applied as required by law. The Affiliate is solely responsible for fulfilling its own tax obligations.

11. Suspension and termination

Rollin Host may suspend any Affiliate account at any time for investigation purposes. Termination may occur:

  • At any time, at the election of either party, upon 30 days' written notice, at no cost; or
  • Immediately, in the event of a material breach of these Terms, fraud, or prohibited conduct (clause 8).

Approved but unpaid balances remain available for 90 days following termination, except where termination is due to fraud, in which case the balance may be withheld pending assessment of damages.

12. Amendments

Rollin Host may update these Terms with a minimum of 30 days' prior notice for material changes (commission reduction, change to the cookie window, change to payment rules). Non-material changes (typographical corrections, editorial reorganization) may take effect immediately. Commissions already credited are governed by the terms in force on the date of crediting.

13. Governing law and venue

These Terms are governed by the laws of Brazil. The courts of the Comarca de Campinas — SP are designated as the exclusive venue for resolving disputes, without prejudice to a consumer's right to bring proceedings before the court of their domicile where applicable under Brazilian law.
